You may transmit or post any Content you create through any of the Services or otherwise. However, you are solely responsible for such content and the consequences of its transmission or publication. All published content is publicly available on the Internet and can be crawled and indexed by search engines. You are responsible for ensuring that you do not inadvertently make private content available to the public. Any Content you receive from other users of the Services is provided to you ON ANY basis for your information and personal use only, and you agree not to use, copy, reproduce such Content for any purpose without the express written consent of the person who owns the rights to such Content; distribute, transmit, send, display, sell, license or otherwise use. If you encounter content with copyright notices or copy protection features while using any of the Services, you agree not to remove such copyright notices or disable such copy protection feature(s) if necessary. By making copyrighted/copyrighted content available on any of the Services, you acknowledge that you have the consent, permission, or permission, as the case may be, of any person who may claim rights in such content to make such content available in that manner. Zoho regularly updates its licensed software to release patches and features to existing customers via PPM files. To make it easier for customers to stay on the latest version of the licensed software, automatic upgrade is enabled by default for Personal Edition and Professional Edition clients. You understand and acknowledge that the automatic upgrade feature is enabled by default and must be disabled through the user interface of the Licensed Software if you do not wish to automatically update the Licensed Software. You may rename the Licensed Software by removing the Zoho logo and copyright notice from the graphical user interface (“GRAPHICAL INTERFACE”) of the Licensed Software and displaying your logo in the Graphical User Interface. However, you may not display a copyright notice in the GUI and display the “powered by Zoho” logo provided by Zoho in the right corner of the GUI. You must comply with the rebranding policies available on the Site. You are responsible for taking the necessary steps to ensure that your organization does not lose control of administrator accounts. You can specify a process to restore control in the event of a loss of control of administrator accounts by sending an email to [email protected], provided that the process is acceptable to Zoho.
In the absence of a specific process for restoring administrator accounts, Zoho may provide control of an administrator account to a person who provides satisfactory evidence to Zoho that demonstrates their eligibility to act on behalf of the organization. You agree not to hold Zoho responsible for the consequences of any action Zoho has taken in good faith in this regard. As part of the subscription license, Zoho provides email support for problem reports, product updates, upgrades, and online access to product documentation at no additional cost for the subscription period. Technical support, including online access to product documentation, product updates, upgrades, service packs, email and telephone support, is not part of the perpetual license. You can purchase technical support services for a perpetual license by paying the then-current maintenance and support fees. Upon request, you agree to confirm in writing that you have received licenses for all employees in your organization. Zoho reserves the right to review the latest statement filed with a relevant government agency that discloses the total number of employees in your organization to ensure compliance with the licensing requirements set forth herein. This audit will be performed by Zoho or an independent accounting firm at your facilities during normal business hours giving you written notice at least fifteen (15) days in advance. You must take immediate corrective action to address any hardware nonconformities identified by Zoho. Under the Subscription License, the Licensed Software is licensed only for the intended term. If you do not renew the subscription beyond the Term, you agree to stop using the Licensed Software and remove it from your system.
In addition, we reserve the right to terminate your user account and refuse the Services if there are reasonable grounds to suspect that you have violated the Terms and to terminate your access to a Beta Service in the event of unexpected technical problems or interruption of the Beta Service. You have the right to terminate your user account if Zoho fails to comply with its obligations under these Terms and, in such case, you will be entitled to a pro-rated refund of all prepaid fees. Termination of the user account includes denying access to all services, deleting information from your user account such as your email address and password, and deleting all data from your user account. Zoho owns all right, title and interest in and to the Licensed Software. Zoho expressly reserves all rights not granted to you herein, regardless of the right to discontinue or not release any Licensed Software and to change the prices, features, specifications, capabilities, functions, license terms, release dates, general availability or functionality of the Licensed Software. The Licensed Software is licensed only by Zoho and is not sold to you. The Licensed Software is intended for use in conjunction with Zoho Docs (“hosted Service”). ZOHO hereby grants you a non-exclusive, non-transferable, non-transferable worldwide license to use the Licensed Software, including user documentation and updates to which YOU are entitled as part of your subscription to the Hosted Service. YOU understand that YOU require a valid subscription to the Hosted Service to use the Licensed Software and that YOU will not be able to use the Licensed Software if the subscription to the Hosted Service expires or is otherwise terminated. “Use” means the storage, location, installation, execution or display of the Licensed Software. “Single Installation License” means that one copy of the Licensed Software may only be installed on one computer. If you choose to use the Personal Edition beyond the evaluation period, you may use the Licensed Software to use the features supported in the Personal Edition of the Licensed Software, as set forth on the Site. Zoho grants you a non-exclusive, non-transferable worldwide license to use the Licensed Software free of charge and indefinitely.
